Team Structure:
This role will be working in the employee incentives team, which sits within the wider corporate tax team. The corporate tax team comprises 3 partners (shortly to be 4) and 3 (shortly to be 4) associates and the team itself sits within the overall corporate department, currently comprising 30 partners and 50 associates.

Nicholas Stretch has recently joined us as the head of the employee incentives team, and is recognised as a leading individual in both Chambers and Legal 500. Nicholas is well-known in the employee incentives space from his work with Share Plan Lawyers, the body for lawyers in this area, where he has until recently been Chairman.

We have a senior associate who is dedicated to employee incentives, but who is reducing her time commitment, and two junior associates, one of who split their time between corporate tax and employee incentives. The team also has a trainee. The ideal candidate will come in and focus solely on employee incentives filling in the gap between the partner and the junior associates and taking up the role played by the senior associate who is reducing her time commitment.

This role spans advice across a broad spectrum of employee incentives and executive remuneration providing advice to both public and private companies on share plans, management incentives, bonus arrangements and related matters. Areas of expertise include:

  • Transactional Support
Working closely with corporate colleagues on transactions for both listed and private companies, including private equity investments. This typically involves unravelling existing incentive arrangements as part of the transaction and may also involve negotiating replacement incentives. We also advise companies that are preparing to float on new incentive arrangements that can be put in place at IPO.
  • Share plans
Designing and implementing tax-advantaged and non-tax-advantaged share plans, including enterprise management incentive (EMI) options, growth share plans and jointly owned equity as well as long-term incentive plans and all-employee arrangements. We structure bespoke and innovative remuneration arrangements to suit the specific objectives of our clients, with liaison with employee trustees.
  • Bonus arrangements
Advising clients on the design and structure of cash bonus plans.
Corporate Governance
We advise listed companies and, increasingly, private companies in the adoption of appropriate corporate governance framework and generally, on ongoing compliance requirements.
  • Appointments and terminations
Representing both employers and senior management on appointments and on the impact of a termination of employment on equity awards held by a departing individual.
Employment Taxes
Advising on all aspects of the tax regime for employment–related securities and on PAYE and NIC issues, including on terminations of employment.
  • Financial services
Advising a number of banks and asset managers on compliance with the various regimes in place and in implementing recently required changes.
  • Global share plans
Guiding clients through the legal, tax, and regulatory aspects of extending participating in equity incentive arrangements overseas. Also advising overseas clients on the extension of participation in their share plans to UK employees.

The ideal candidate will have a strong grounding in the taxation of employment-related securities well as having a sound knowledge of how corporate transactions are structured both for quoted and private companies. The candidate should have gained broad experience of running the share plan aspects of corporate transactions such that they can run with the relevant employee share plan documentation without supervision. Familiarity with financial services regulatory issues and corporate governance issues for quoted companies and broader employee tax issues would be welcome but not essential.

Main Responsibilities:
  • Considering technical issues and giving clients clear advice in the correct commercial context
  • Clear and concise drafting of documentation
  • Independent liaison with clients working with the partner
  • Developing own informal internal and external network of contacts, and within the employee share plan world
  • Building excellent working relationships with clients and peers within SH
  • Attending business development and profile-raising events (including client seminars, graduate recruitment activities)

Attributes/Skills Required:
  • Enthusiasm for deals and M&A activity as well as employee share plans
  • Has a deep knowledge of relevant tax and share plan practice, the issues clients commonly face, and solutions available
  • A resilient self-starter, able to work alone and within a small team
  • Works with junior associates and trainees by being approachable and mentoring within the team and department
  • Confidently deputise during partner holidays
  • Strong drafting skills, with impact, accuracy and attention to detail
  • Excellent written and verbal communication skills, comfortable interacting with colleagues, clients and (including overseas lawyers) in the most effective way
  • Organised and able to work to strict deadlines with the ability to prioritise realistically
  • Good housekeeping/file management practices; good billing practice
  • Ambitious, keen to work in a developing department, with an ability to pitch and market, and desire to increase the practice
  • Strong academic and professional qualifications
